Terms of Service

These Terms of Service ("Terms") govern your access to and use of Rozeta AI's applications, website, products, and services available at or through rozeta.app and related platforms (collectively, the "Services").

Please read these Terms and our Privacy Policy carefully before using the Services. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

Rozeta AI is a low-latency AI transcription and translation tool that helps users communicate across languages through speech recognition, speech processing, translation, and related AI technologies. AI-generated translation may not always be accurate, complete, or suitable for every context, and you are responsible for reviewing and evaluating outputs before relying on them.

1. Eligibility and Account Registration

You may use the Services only if you are legally permitted to do so under applicable law and can form a binding agreement with Rozeta AI.

The Services are not directed to children under 13. If you are under the age of majority in your jurisdiction, you may use the Services only with the consent and supervision of a parent or legal guardian. By using the Services, you represent that you meet these eligibility requirements.

If you create an account, you agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account, unless caused by Rozeta AI's failure to use commercially reasonable security measures.

2. Use of the Services — Permissions and Restrictions

Subject to your compliance with these Terms, Rozeta AI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal or internal use.

You agree not to:

  • Copy, modify, distribute, sell, lease, sublicense, or otherwise exploit the Services or any part of them without our prior written permission.
  • Reverse engineer, decompile, disassemble, or attempt to extract the source code, models, algorithms, or underlying technology of the Services, except where such restriction is prohibited by law.
  • Interfere with, disrupt, overload, or impair the operation, security, or integrity of the Services.
  • Circumvent, disable, or interfere with access controls, rate limits, security features, usage restrictions, or copy-protection mechanisms.
  • Access the Services through unauthorized automated means, including bots, scrapers, spiders, offline readers, or similar tools, except that public search engines may index publicly available materials in accordance with standard robots.txt instructions.
  • Harvest, collect, or misuse personal information of others.
  • Impersonate another person or misrepresent your identity or affiliation.
  • Use the Services to harass, abuse, threaten, defame, deceive, or harm others.
  • Use the Services to create, transmit, or facilitate unlawful, infringing, harmful, fraudulent, or malicious content or activity.
  • Upload or transmit viruses, malware, or other harmful code.
  • Use the Services to develop, train, benchmark, or improve competing products or services without our prior written permission.
  • Resell, commercially host, or provide access to the Services as a standalone product or managed service without our prior written permission.

Rozeta AI may suspend, restrict, or terminate access to the Services if we reasonably believe that you have violated these Terms, created risk for Rozeta AI or other users, or used the Services unlawfully or abusively.

3. The Services and AI Outputs

The Services may generate translations, transcriptions, summaries, text, or other outputs using AI systems ("Outputs"). Outputs may contain errors, omissions, mistranslations, offensive wording, or content that does not reflect your intended meaning.

You understand and agree that:

  • Outputs should be reviewed before being relied upon.
  • The Services are not a substitute for professional human interpretation, legal advice, medical advice, financial advice, safety-critical communication, or other expert judgment.
  • You are responsible for determining whether Outputs are appropriate for your intended use.
  • Rozeta AI does not guarantee that translations or other Outputs will be accurate, complete, uninterrupted, error-free, or suitable for any particular purpose.
  • In emergency, medical, legal, financial, safety-critical, or high-stakes situations, you should use qualified professionals or appropriate official communication channels instead of relying solely on the Services.

4. Rozeta AI Content and Intellectual Property

The Services, including software, interfaces, designs, text, graphics, logos, trademarks, service marks, audio, visual elements, documentation, and other materials provided by Rozeta AI, are owned by Rozeta AI or its licensors and are protected by intellectual property and other laws.

Except for the limited license expressly granted in these Terms, we do not grant you any rights to the Services or Rozeta AI Content. You may not copy, reproduce, distribute, publicly display, publicly perform, modify, sell, license, or exploit Rozeta AI Content except as permitted by the normal functionality of the Services or with our prior written permission.

All rights not expressly granted are reserved by Rozeta AI and its licensors.

5. Your Content

You may provide, upload, speak, submit, transmit, or generate content through the Services, including audio, speech, text, translations, uploaded files, glossary terms, prompts, feedback, and other materials ("User Content").

You retain ownership of your User Content. These Terms do not transfer ownership of your User Content to Rozeta AI.

You grant Rozeta AI a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, display, reproduce, and otherwise use your User Content solely as necessary to:

  • Provide, operate, and maintain the Services.
  • Process speech, text, files, and related inputs to generate translations or other requested Outputs.
  • Save or export content if you enable features that require storage.
  • Provide customer support at your request.
  • Maintain safety, security, fraud prevention, abuse prevention, and service reliability.
  • Comply with applicable law and enforce these Terms.

Rozeta AI does not use customer audio, transcripts, translations, uploaded files, or other User Content to train or fine-tune general-purpose AI models. If Rozeta AI ever offers optional product-improvement, quality-review, or custom-model features that use User Content, we will provide separate notice and obtain appropriate consent or opt-in where required.

You represent and warrant that:

  • You have all rights, permissions, and authority necessary to provide your User Content to the Services.
  • Your User Content does not infringe, misappropriate, or violate the rights of any third party.
  • Your User Content does not violate applicable law or these Terms.
  • You will not submit confidential, sensitive, or regulated information unless you have the right to do so and the Services are appropriate for that use.

6. Feedback

If you provide suggestions, comments, ideas, bug reports, feature requests, or other feedback about the Services ("Feedback"), you grant Rozeta AI a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that Feedback without restriction or compensation to you.

Feedback does not include your private audio, transcripts, translations, uploaded files, or other User Content unless you intentionally include such content in the Feedback you submit.

7. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, process, disclose, retain, and protect information.

By using the Services, you acknowledge that you have reviewed the Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding the handling of personal information, the Privacy Policy will control to the extent of that conflict.

8. Payments, Subscriptions, and Payment Processors

Some features of the Services may require payment or a subscription. Prices, billing periods, renewal terms, cancellation options, and applicable taxes will be presented at the time of purchase or subscription.

Payments may be processed by third-party payment providers such as Stripe, Creem, app stores, or other electronic payment vendors. Your payment transaction may be governed by the payment provider's terms, privacy policy, and billing rules. Rozeta AI is not responsible for the acts or omissions of third-party payment processors, except to the extent required by applicable law.

If you purchase a subscription:

  • You authorize Rozeta AI or its payment processor to charge the applicable fees and taxes.
  • Your subscription may renew automatically unless canceled before the renewal date.
  • You are responsible for reviewing the applicable renewal and cancellation terms before purchasing.
  • Except for charges resulting from payment-processing errors, subscription fees and prepaid credits are non-refundable, subject to applicable platform rules and any mandatory consumer protection laws.

Rozeta AI may change pricing or subscription features from time to time. If pricing changes apply to an existing subscription, we will provide notice where required by law.

9. Third-Party Services and Links

The Services may contain links to, integrations with, or features provided by third-party websites, platforms, applications, models, infrastructure providers, payment processors, or other services.

Rozeta AI does not control third-party services and is not responsible for their content, availability, security, privacy practices, terms, or conduct. Your use of third-party services is governed by their own terms and policies.

You acknowledge and agree that Rozeta AI is not liable for loss or damage arising from your use of third-party services, except to the extent required by applicable law.

10. Service Availability and Changes

Rozeta AI may modify, suspend, discontinue, replace, limit, or remove any part of the Services at any time, including features, functionality, models, supported languages, pricing, or availability.

We will use reasonable efforts to avoid unnecessary disruption, but we do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

You acknowledge that AI technologies, speech recognition, translation systems, and third-party infrastructure may evolve over time, and the quality, latency, or behavior of the Services may change.

11. Promotions

Rozeta AI may offer contests, promotions, sweepstakes, referral programs, discounts, trials, or other promotional activities ("Promotions"). Promotions may be subject to additional rules, eligibility requirements, geographic restrictions, age restrictions, deadlines, and conditions.

If Promotion rules conflict with these Terms, the Promotion rules will apply to that Promotion only.

Rozeta AI reserves the right to revoke any reward plans or promotional hours without prior notice if it is determined that trials or other promotional benefits were obtained through improper or fraudulent means.

12. Typographical Errors and Mistaken Information

If a product, service, feature, price, offer, or other information is listed incorrectly due to a typographical error, technical error, or other mistake, Rozeta AI reserves the right to correct the error and, where appropriate, refuse or cancel affected orders.

If you have already been charged for a canceled order, Rozeta AI will provide a refund or credit as required by applicable law or the applicable payment platform rules.

13. Termination

You may stop using the Services at any time. You may also request account deletion by contacting us or using available account settings, subject to our Privacy Policy and applicable retention requirements.

Rozeta AI may suspend or terminate your access to the Services if:

  • You violate these Terms.
  • Your use creates legal, security, operational, or reputational risk.
  • Your account is involved in fraud, abuse, unauthorized access, or unlawful activity.
  • We are required to do so by law.
  • We discontinue the Services or a material part of them.

Upon termination, your right to access and use the Services will stop immediately. Sections that by their nature should survive termination will remain in effect, including provisions relating to intellectual property, User Content licenses necessary for prior operation, payment obligations, disclaimers, limitation of liability, indemnity, dispute resolution, and general terms.

14. Warranty Disclaimer

To the fullest extent permitted by law, the Services, Rozeta AI Content, Outputs, and any related materials are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise.

Rozeta AI disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted operation.

Rozeta AI does not warrant that:

  • The Services will meet your requirements or expectations.
  • The Services will be accurate, complete, timely, uninterrupted, secure, or error-free.
  • AI-generated translations, transcriptions, or Outputs will be correct or suitable for your intended use.
  • Defects or errors will be corrected.
  • The Services will be free of viruses, malware, or harmful components.

Some jurisdictions do not allow certain warranty exclusions, so some of the above exclusions may not apply to you.

15. Limitation of Liability

To the fullest extent permitted by law, Rozeta AI and its officers, directors, employees, contractors, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenues, lost data, business interruption, goodwill loss, or other intangible losses arising out of or relating to your use of or inability to use the Services.

To the fullest extent permitted by law, Rozeta AI's total liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of:

  • The amount you paid to Rozeta AI for the Services during the three months before the event giving rise to the claim; or
  • USD $100.

The limitations in this section apply whether the claim is based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if Rozeta AI has been advised of the possibility of such damages.

Some jurisdictions do not allow certain liability limitations, so some of the above limitations may not apply to you.

16. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Rozeta AI and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, damages, obligations, losses, liabilities, costs, debts, and expenses, including reasonable attorneys' fees, arising from or relating to:

  • Your access to or use of the Services.
  • Your violation of these Terms.
  • Your violation of applicable law.
  • Your User Content.
  • Your infringement or misuse of third-party rights.
  • Your fraud, misconduct, or unauthorized use of the Services.

Rozeta AI reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

17. Electronic Communications

By using the Services, you agree that Rozeta AI may communicate with you electronically, including by email, in-app messages, service notifications, or posting notices through the Services.

You agree that electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by applicable law.

18. Assignment

You may not assign or transfer these Terms or any rights or obligations under these Terms without Rozeta AI's prior written consent.

Rozeta AI may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate transaction, operation of law, or transfer of the Services, provided that such assignment is consistent with applicable law.

19. Dispute Resolution

If a dispute arises, you agree to first contact Rozeta AI at [email protected] and attempt to resolve the dispute informally.

A Notice of Dispute should include:

  • Your name and contact information.
  • A description of the dispute.
  • The facts giving rise to the dispute.
  • The relief you are seeking.

If the dispute cannot be resolved informally within a reasonable period, either party may bring the dispute before a court of competent jurisdiction, unless applicable law requires or permits another procedure.

Nothing in these Terms prevents either party from seeking injunctive or equitable relief for unauthorized use of intellectual property, security violations, or misuse of the Services.

20. Governing Law

These Terms are governed by the laws applicable to Rozeta AI's place of establishment, without regard to conflict-of-law rules, unless the consumer protection laws of your jurisdiction require otherwise.

If you are a consumer, you may have mandatory rights under the laws of your country or region of residence. Nothing in these Terms limits rights that cannot be waived under applicable law.

21. Severability and Entire Agreement

These Terms, together with the Privacy Policy and any additional terms presented for specific features or purchases, constitute the entire agreement between you and Rozeta AI regarding the Services.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be interpreted or replaced to the maximum extent permitted by law to reflect the original intent.

Failure by Rozeta AI to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

22. Time Limit for Claims

To the fullest extent permitted by law, any claim arising out of or relating to these Terms or the Services must be brought within one year after the claim arises. Otherwise, the claim is permanently barred.

This limitation does not apply where prohibited by applicable law.

23. Changes to These Terms

Rozeta AI may update these Terms from time to time to reflect changes in our Services, business practices, technologies, or legal requirements.

If changes are material, we may provide notice through the Services, by email, by posting an updated version, or by other appropriate means. The updated Terms will become effective when posted or as otherwise stated in the notice.

Your continued use of the Services after the effective date of updated Terms means you agree to the updated Terms, to the extent permitted by applicable law. If you do not agree to the updated Terms, you must stop using the Services.

24. Additional Terms

Certain features, purchases, platforms, services, trials, or Promotions may be subject to additional terms. If additional terms apply, they will be presented to you or made available with the relevant feature or service.

If additional terms conflict with these Terms, the additional terms will control only for the relevant feature, purchase, platform, service, trial, or Promotion.
